Terms of Service

EFFECTIVE JULY 31, 2026 · ALPHA STAGE · UNITED STATES ONLY

These terms cover your use of the FieldThread website and service, operated by Sky Link Solutions LLC, Pleasanton, California (“we”, “us”). FieldThread is currently offered as an alpha to a small number of contracting companies in the United States. By using the site or the service, you agree to what follows. If you do not agree, do not use it.

THE THREE THINGS THAT MATTER MOST

This is alpha software and it will get things wrong — verify anything you rely on (§ 04). Everyone on a project line must be told it is recorded before they use it (§ 05). Our liability is capped, and during an unpaid alpha that cap may be zero (§ 10).

— 01 · WHAT THE SERVICE IS

A clerk, not a decision-maker

FieldThread reads a WhatsApp project line you designate and turns it into a structured, read-only project record: daily log, open items, schedule, materials, media and project health.

It is a clerical tool. It is not a system of record for contracts, not a construction management or accounting system, not legal advice, and not a substitute for signed change orders, permits or inspections. A change order flagged in FieldThread is a note that someone raised something — it is not an approval and it does not bind anyone.

— 02 · WHO MAY USE IT

Businesses, in the United States, over 18

FieldThread is offered for business use only, to people aged 18 or over, in the United States. It is not offered for personal, household or consumer purposes, and it is not offered outside the United States. If you accept these terms on behalf of a company, you are confirming that you have the authority to bind it, and “you” means both you and that company.

You agree to receive notices, agreements and disclosures from us electronically — by email, or by posting to this site. You may withdraw that consent by telling us to stop, but we may then be unable to continue providing the service.

— 03 · ALPHA STATUS

Expect it to change

The service is in active development. Features may change or be withdrawn, data may need to be migrated, and availability is not guaranteed. There is no uptime commitment and no support-response commitment during the alpha beyond what we agree with you directly.

Pricing, if any, is whatever is stated in your alpha arrangement with us. Nothing on this website is an offer of a price, a commitment to provide the service, or a promise that any described feature exists today. Where this page and a signed agreement between us disagree, the signed agreement wins.

If you send us feedback, ideas or bug reports, we may use them to improve the product without owing you anything for them. You keep the right to use your own ideas however you like; we simply are not obliged to keep them secret or pay for them.

— 04 · ACCURACY

Automated processing makes mistakes

Entries are produced by automated language models: transcription, translation and categorization. They can mis-hear a voice note, mistranslate a phrase, miss a date, or file something in the wrong place. The record is a strong working memory, not a certified transcript, and it is not evidence of anything on its own.

You are responsible for verifying anything you rely on for money, safety, scheduling or contractual decisions. Where a message and the derived entry conflict, the original message governs.

FieldThread does not evaluate people. Do not use the record as the basis for a decision about someone's employment, pay, discipline or immigration status without independently verifying the underlying messages yourself.

HOW CORRECTIONS WORK

The record is append-only. A correction is filed as a new entry with its own timestamp and author; the entry it corrects stays readable underneath. We do not silently rewrite history, and neither can anyone in your office.

Telling the crew, and who gets the link

Notice to participants

You confirm that you have the right to route the project line to us, and that every person who texts that line has been told, before they use it, that the thread is recorded and turned into a project record. California law treats recording a conversation without everyone's knowledge seriously, and voice notes on a project line are exactly that. We supply notice text in English and Spanish; delivering it is your job, and we may ask you to confirm you have.

Access links

Dashboard links grant access to a project or organization. Treat them like keys: share them only with people who should see the job, and tell us promptly if one gets loose. You are responsible for what is done through a link issued to you.

What not to send

Do not put payment card numbers, government identification, financial account numbers, or medical information on the project line. FieldThread is not built for regulated data and must not be used for it.

Acceptable use

Do not use the service unlawfully, to harass or surveil anyone, to infringe someone's rights, to probe or break our security, to reverse-engineer or resell the service, or to route a thread you have no right to route. Do not misrepresent the record as a certified or official document.

— 06 · YOUR CONTENT

The record is yours

You keep ownership of your messages, media and the resulting project record. You grant us the permission needed to host, store, transmit and process that content in order to run the service for you, and to have our service providers do the same on our instructions — nothing broader. We do not sell your content, we do not use it to advertise, and we do not use it to train models offered to anyone else. How we handle personal information is set out in the Privacy Policy, which forms part of these terms.

You can ask for an export of your record at any time. If the alpha ends, we will export it to you and delete it on request, on the schedule set out in the Privacy Policy.

— 07 · OUR CONTENT

The software is ours

The FieldThread software, website, design, and the FieldThread and Sky Link Solutions names and marks belong to us. Nothing here transfers them. During the alpha we grant you a limited, revocable, non-exclusive, non-transferable right to use the service for your own business, and no other right.

We will not use your company name or logo publicly as a customer reference without asking you first.

— 08 · THIRD PARTIES

Messages travel over WhatsApp, operated by Meta, under Meta's own terms. We are not affiliated with, endorsed by, or a partner of Meta or WhatsApp, and we are not responsible for that service's availability, delivery, or changes to it. Your use of WhatsApp is between you and Meta. The same goes for any other third-party service you connect to FieldThread.

— 09 · INDEMNITY

You will defend and indemnify Sky Link Solutions LLC against third-party claims, and the reasonable costs of them, arising from your use of the service in breach of these terms — in particular a claim that you routed a thread you had no right to route, or that someone on a project line was never told it was being recorded. We will tell you promptly about any such claim, let you control the defense of it, and cooperate with you at your expense. You may not settle anything that admits fault on our part or costs us money without our agreement.

— 10 · WARRANTIES AND LIABILITY

The service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the record will be complete, accurate, timely, secure, or continuously available, or that defects will be corrected. This is alpha software.

To the fullest extent permitted by law, Sky Link Solutions LLC is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost jobs, lost data, business interruption, or costs arising from reliance on the record — even if we were told such damages were possible.

Our total liability arising out of or relating to the service is limited to the greater of the amounts you paid us for it in the twelve months before the claim, or one hundred dollars ($100) — which, during an unpaid alpha, is likely to be the latter.

Some states do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is so, these exclusions apply only to the extent the law permits, and nothing here limits liability for fraud, willful misconduct, gross negligence, or anything else that cannot lawfully be limited.

— 11 · ENDING IT

You can stop using FieldThread at any time by telling us to stop following the project line. We may suspend or end access if the service is misused, if continuing would expose us or someone else to legal risk, or if we discontinue the alpha; we will give you notice and an export where we reasonably can, and immediately where a safety or security problem makes that impossible.

Sections 04, 06, 07, 09, 10, 12 and 13 survive the end of these terms.

— 12 · DISPUTES AND GOVERNING LAW

Call us before you call a lawyer

If something goes wrong, write to [email protected] with the details and give us 30 days to sort it out. Most things are a misunderstanding and get fixed in a week. Neither side may start a formal proceeding until that 30 days has run, except to seek an injunction or to bring a claim in small claims court.

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute that survives the step above belongs to the state and federal courts located in Alameda County, California, and both sides consent to jurisdiction there. There is no arbitration clause and no class-action waiver in these terms — if we ever add one, we will tell you before it takes effect and give you a way to decline.

— 13 · THE REST

These terms and the Privacy Policy, together with any signed alpha agreement, are the whole agreement between us about the service and replace anything said before. If a court finds part of them unenforceable, the rest stays in force and that part is narrowed to what is enforceable.

Not enforcing something once does not waive it. You may not assign these terms without our written consent; we may assign them to a successor in a merger or sale of the business. Neither side is liable for failures caused by events outside its reasonable control. Nothing here creates a partnership, agency or employment relationship, and there are no third-party beneficiaries.

— 14 · CHANGES

We will update these terms as the product changes. The effective date at the top tells you which version you are reading. Material changes go to alpha customers directly and are posted here before they take effect; continuing to use the service after that is acceptance. If you do not accept a change, stop using the service and ask us for your export.
